Associate General Counsel

To help solve for this need, Accumulus is developing a transformative data exchange platform to enable enhanced collaboration and efficiency between life sciences organizations and National Regulatory Authorities worldwide. Job Description

Accumulus is seeking an experienced attorney to join its legal team. As an Associate General Counsel, this role will partner with Accumulus team members to promote the Accumulus mission and help support the organization’s growth. The primary focus of this position is to provide legal support to business and cross-functional teams, including Product, Marketing, Sales, and Procurement.

This role requires an organized, detailed, efficient, and independent individual who has a strong interest and prior experience in SaaS and software product development and could industry-type contract drafting and negotiation.

This role is primarily remote with occasional travel as needed and reports to the organization’s Chief Legal Officer.

Responsibilities

  • Lead and work alongside other team members negotiating, drafting, updating and maintaining company contracts including customer and partner agreements, supplier procurement and service agreements, marketing promotional terms, and other corporate transactional agreements.
  • Work closely with procurement and vendor risk management functions to further develop, maintain, and operationalize processes related to vendor assessment, on-boarding, risk and performance monitoring, policy compliance, and offboarding.
  • Maintain standard templates and playbooks for customer agreements; provide guidance and help drive maintenance of contracting processes.
  • Identify, manage, and escalate issues and risks arising during negotiations.
  • Advise product, engineering, operations, security, HR, and marketing teams on meeting strategic objectives while complying with laws, regulations, best practices, and customer requirements with specific attention to copyright, IP, privacy, and AI.
  • Present complex issues in a clear and concise manner and provide succinct results-oriented legal advice to organizational stakeholders.
  • Proactively support opportunities to improve process efficiency within the legal team.
  • Support key business units such as HR and Security, in developing and reviewing policies and procedures.
  • Develop training materials and conduct training sessions for product and business teams
  • Stay current with legal developments; anticipate future legislation impact on business operations; ensure compliance with legal and regulatory requirements; and advise leadership team on necessary or recommended changes.
  • Be willing to grow and assume additional responsibilities as needed.

Qualifications

  • J.D. from an accredited law school with an active bar license in good standing
  • 7+ years of legal experience, with at least 3+ years in-house; prior law firm experience preferred
  • Significant experience negotiating technology license agreements (software-as-a-service, software, cloud, and related ancillary documents, including SLAs, security exhibits, and privacy addenda) and vendor commercial transactions
  • Familiarity with privacy, data security, and healthcare laws and regulations such as GDPR and HIPAA 
  • Experience with procurement support including but not limited to IT procurement (including tools with GenAI functionality), supplier relationship management, supplier onboarding, and contractual dispute resolution
  • Experience working directly with product, security, and engineering teams to bring cloud-based SaaS solutions to market
  • Confidence interacting with senior management and sophisticated vendors
  • Excellent verbal, written communication, and interpersonal skills
  • Strong problem solving, detailed analysis, and issue resolution capabilities
  • Demonstrated ability to understand complex commercial and technical issues and business needs, and to identify and address associated risks
  • Effective organizational, multi-tasking, prioritization, and re-prioritization skills, including, in particular, a demonstrated ability to manage high volume of workload at times
  • Self-starter and problem solver accustomed to operating independently, but while exercising sound judgment regarding appropriate escalation
  • Proactive in pursuit of continuous improvement, learning new skills, and addressing business needs with practical solutions
  • High ethical standards and sound judgment in handling sensitive and confidential information
Salary range
$177,000$210,000 USD

Job Description

Accumulus is seeking a Security Governance Manager. This will be a key role within the Security Assurance Team, reporting directly to the Director of Security Assurance.

The Security Governance Manager is responsible for overseeing the Security Governance program and ensuring security efforts comply with business goals and regulations, while also collaborating with stakeholders to guarantee responsibility, clarity, and efficient decision-making for security governance initiatives. 

Responsibilities

  • Lead the Security Governance Program 
  • Oversee the governance framework to ensure that security efforts align with business objectives and regulatory requirements. 
  • Coordinate with stakeholders to ensure accountability, transparency, and effective decision-making regarding security governance initiatives.
  • Develop policies, procedures, and guidelines to ensure that security governance efforts align with business objectives and regulatory requirements. 
  • Maintain common controls  to ensure controls align with security strategy, support business objectives, and are consistent with applicable laws and regulations
  • Own security training and awareness programs
  • Monitor external regulatory, security and compliance landscapes and proactively inform management of significant changes
  • Maintain handbook pages, policies, standards, procedures and runbooks related to security governance program
  • Identify opportunities for security governance process automation
  • Maintain security governance process automation

Qualifications

  • A minimum of 5 years of experience defining and shaping Security Governance programs for regulated markets
  • Demonstrated experience with security control frameworks such as:  SOC 2, ISO, NIST, COSO, COBIT, etc.
  • Detailed understanding of security and governance within cloud-native technology stacks
  • Preferred: Experience with Confluence, Vanta, Azure Defender for Cloud - Compliance / Purview
